Technology readiness before a transaction

Stable State works with owner managed and PE backed technology businesses, typically valued at £5m to £50m, 12 to 24 months before a transaction, to identify and address technology issues that could affect valuation, create uncertainty during due diligence or slow a deal.

For any business where software, data or a technology platform is part of the value proposition, investors and acquirers now dig into the technology as hard as they dig into the numbers. A codebase nobody can explain, a single engineer holding institutional knowledge, or a platform that has never been tested at scale rarely shows up in the accounts, but it shows up in due diligence, and it shows up in the price.

Found 18 months before the deal: fixable. Most technical debt, documentation gaps and scalability risks can genuinely be fixed, and the client goes into the process with evidence.
Found during due diligence: a deal issue. The same issues become renegotiation leverage for the other side, or a reason to walk away.

Why introducing us early helps everyone

For your client

Time to fix what matters, a stronger position in negotiations and fewer surprises in the data room.

For you

A smoother process, fewer late technical issues and a client who goes into the deal prepared.

When should you introduce us?

A conversation is worthwhile when:

01

A transaction is on the horizon

The shareholders are considering an exit, investment or other transaction within the next 12 to 24 months.

02

Technology is important to the valuation

The business operates a software platform, owns valuable IP or relies heavily on technology to deliver its services.

03

Management does not know what DD will uncover

The business has grown quickly and technology has evolved organically. Nobody has independently assessed how it will stand up to investor scrutiny.

04

There are known technology concerns

Technical debt, legacy platforms, cyber security, scalability, documentation, key person dependency or an overstretched technology team are already causing concern.

05

The business needs time to prepare

Potential issues can often be fixed. Finding them during formal DD is too late. Finding them 12 to 24 months beforehand gives management time to act.

Where the work starts: ClearView

ClearView is a two-week Technology Exit Readiness assessment across the six areas of the Stable State Technology Readiness Framework:

StrategyProductTeamApproachPlatformSecurity

We review the technology, talk to the leadership and technical teams and identify the strengths, risks and issues likely to matter to a future investor or acquirer. Your client receives a scored board report showing:

  • What is good.
  • What needs attention.
  • What could become a DD issue.
  • What should be fixed before a transaction.

Where appropriate, Stable State can then work alongside the leadership team over the following 12 to 24 months to address those issues and prepare the business for formal technical due diligence. More about ClearView.

The introduction can be simple

You do not need to diagnose the technology problem, or even know whether there is one. That is our job, not yours.

If you are advising a business where technology matters to the transaction, simply introduce us. There is no cost and no obligation attached to that first conversation.

We will speak directly with the management team, establish whether there is anything worth investigating, and tell you and them plainly what we found, including if the answer is that there is nothing to worry about.

We work alongside your existing relationship, not around it. You stay the trusted adviser; we handle the technical assessment and report back in language everyone in the room can act on.

If it helps to share some background with a client first, the Technology Exit Readiness guide, preparing a SaaS business for sale and vendor technical due diligence are written for exactly that.

Bring us into the conversation.

Talk to us first. We'll explain what we'd look at, and whether it's worth a conversation with your client.
